Introduction
This document aims to regulate the relationship between Locafy platform and each user or consumer interacting with it. It ensures a safe and transparent digital environment for completing sales and purchases, and protects the rights of all parties in accordance with applicable Egyptian laws.
By using the platform, creating an account, making any purchase, or interacting with it in any way, the user agrees to abide by all the terms and conditions contained in this document, including the platform's sub-policies, such as the Privacy Policy, Shipping and Delivery Policy, Return and Exchange Policy, and any future updates announced on the platform.
These terms outline the rights and obligations of users and the platform, the mechanisms for using the services, payment and shipping methods, return and exchange procedures, and limits of liability, ensuring the protection of the interests of the platform, consumers, and suppliers alike.
Section One: Definitions
Unless the context otherwise requires, the terms used in these Terms and Conditions have the meanings specified below:
Platform: means the Locafy electronic platform in its version dedicated to the Arab Republic of Egypt, including the website, applications, and technical systems, and all associated digital and interactive services, whether accessed via computers, smart devices, or other approved electronic means. The Platform also includes the database, user interface, designs, and all digital content published thereon.
Document: means these Terms and Conditions in full, and any subsequent amendments or updates issued by the Platform and published on its website or official application.
Supplementary Terms and Policies: means any legal documents or operational policies issued by the Platform, such as the Privacy Policy, Shipping Policy, and Exchange and Return Policy, which are considered an integral part of this document, and the User is bound by its provisions.
Owner: means the company LOCAFY which owns and operates the platform and is legally responsible for its management. This includes its employees, agents, experts, legal representatives, and any companies affiliated with it, directly or indirectly, to the extent permitted by law.
User: means any natural or legal person who creates a user account on the platform, browses its content, or orders products or services through it, whether as an end consumer or a representative of another party. This includes unregistered visitors using or interacting with the platform.
Consumer: means any natural user who purchases or orders products or services through the platform, for personal, home, or family use, and not for resale or commercial use.
Supplier/Merchant: means any natural or legal person who offers or sells products or services through the platform in accordance with the agreements and terms governing them. They are fully responsible for the quality, safety, and compliance of the products with the legal and technical specifications announced on the platform.
Products: include all goods or services offered through the Platform, whether new or used, physical or digital, which can be purchased or ordered by the consumer in accordance with the specified policies and terms.
Services: refers to any non-material activities provided by the platform or its suppliers through the platform, including after-sales services, technical support services, special packaging or delivery services, and any additional services approved by the platform in the future.
Order: refers to the process by which a Consumer selects one or more products through the platform and confirms their desire to purchase, whether payment is made immediately by bank cards or upon receipt.
Payment: refers to paying for the requested products or services through the methods available on the platform, including cash on delivery, bank cards, or any other electronic payment methods approved by the Platform in the future (such as point-of-purchase wallets, e-wallet).
Refund: refers to the refund of amounts paid by the consumer in accordance with the Exchange and Return Policy, whether payment was made in cash or electronically, and according to the mechanism specified in that policy.
Shipping and Delivery Policy: refers to the procedures and mechanisms adopted by the Platform for transporting and delivering products to the consumer, including determining delivery dates, costs, and the responsibilities of the parties involved in the shipping process.
Personal Account: refers to a User's personal electronic space on the Platform, created based on their personal data and allowing them to manage their orders, track purchases, and benefit from other services provided by the Platform.
Content: refers to all texts, images, graphics, recordings, data, information, logos, designs, and any other materials available through the Platform, whether belonging to the Owner company, Suppliers, Users, or third parties.
Promotional Offers and Discounts: refers to marketing campaigns, price reductions, coupons, loyalty programs, or gifts that may be offered by the Platform, suppliers, or both, in accordance with the terms specified for each offer.
Privacy Policy: refers to the set of rules that regulate the collection, use, storage, protection, and processing of Users' personal data and information in accordance with the laws and regulations in force in the Arab Republic of Egypt.
Force Majeure: refers to any exceptional event or emergency circumstance beyond the control of the Platform, the Supplier, or the Consumer, which prevents or substantially impedes the performance of obligations, including, but not limited to, natural disasters, fires, floods, wars, riots, epidemics, comprehensive technical failures, or sudden governmental decisions.
Applicable Laws: refers to all laws, regulations, and executive decisions in force in the Arab Republic of Egypt, and any updates or amendments thereto.
Disputes: refers to any dispute, claim, or lawsuit arising between the User and the Platform or Supplier, whether related to the interpretation or implementation of these Terms and Conditions or any transactions conducted through the Platform.
Notifications: refers to any correspondence, messages, or alerts sent from the Platform to the User, whether via email, text messages, notifications within the personal account, or any other means of communication approved by the Platform. Amendments: means any changes or updates made by the Platform to these Terms and Conditions or to the policies of use, sale, exchange, return, or other related policies, which shall become effective immediately upon their publication on the Platform unless otherwise stated.

Section Two - Terms of Use
First: Scope of Application and Legal Capacity
1. Applicability of Terms
The User's access to the Platform, use of any of its services, or interaction with any of its pages, applications, or electronic systems is subject to the terms and conditions of use contained in this document. The User's acceptance of the terms of this document constitutes legally binding acceptance, enforceable against all relevant parties. Simply browsing the site, creating a user account, completing any purchase, exchange, or return, submitting a complaint, or review constitutes an explicit consent to fully comply with these terms.
2. Legal Capacity of Users
The User must have full legal capacity to contract in accordance with the provisions of applicable Egyptian laws.
The Platform has the right to refuse registration to anyone who does not have such capacity. Any unauthorized use of the Platform by persons incapable of legal capacity is at their own risk, with the Platform having the right to claim from them, their guardians, or their legal representatives any direct or indirect compensation, costs, or damages resulting from such use.
3. The Legal Nature of the Relationship Between the Platform and the User
The Platform is an electronic intermediary whose role is limited to providing a secure technical environment that allows Consumers to access products and services offered by Merchants or Suppliers through the Platform and to conduct sales and purchases through it.
The Platform assumes no obligations related to the quality of products, their conformity to specifications, their health safety, or the Suppliers' compliance with laws. This responsibility remains entirely with the Supplier who owns the product.
Second: Acceptance and Amendment of the Terms of Use
1. Contractual Acceptance
By using the Platform, whether through the website, the application, or any related digital means, this constitutes final, irrevocable acceptance of all the Platform's terms and conditions.
The User is advised to carefully read these terms before completing any purchase or submitting any order.
2. Platform's Right to Amend
The Platform reserves the right to amend or update the Terms of Use from time to time, in line with legislative, technical, operational, or security developments.
Any amendments are effective upon posting on the Platform, and the consumer is obligated to review them periodically. Continued use of the Platform after the posting of any amendment constitutes explicit acceptance of the amended terms.
Third: Account Creation and Data Registration
1. Account Creation
As a prerequisite for benefiting from the Services provided by the Platform, the User must create a personal user account on the Platform using correct, complete, and accurate data as required by the electronic registration form.
Upon registration, the User is obligated to provide correct, accurate, and up-to-date information, including, but not limited to: legal name, address, email address, and phone number.
The information must also be updated immediately upon any change to ensure proper legal communication with the User. The User is prohibited from using false data, impersonating other persons, or using fake accounts in any way.
2. Responsibility for the Confidentiality of Account Data
The User bears full responsibility for the confidentiality of their account login information (username and password) and for any activity occurring through their account, whether with or without their consent.
The Platform exercises due diligence to protect User data in accordance with the latest technical and legal standards. However, the Platform does not bear any responsibility for any unauthorized use resulting from the User's negligence in maintaining the confidentiality of their data.
3. The Platform's Right to Suspend or Terminate Accounts
The Platform has the right to suspend, block, or cancel any User’s account if it determines that misleading information, illegal activity, or a violation of any of the provisions of the document exists.
The User has the right to request the termination of their account at any time, provided that any financial or legal obligations incurred prior to the termination date remain valid and binding.
Fourth: General Obligations of the User
1. The User must use the Platform in accordance with the provisions of the laws and regulations in force in the Arab Republic of Egypt, as well as relevant international laws when purchasing products or using services. The user also undertakes not to engage in any activity that may constitute a criminal or civil violation or expose them to legal accountability before any competent authority.
2. It is prohibited to use the Platform's name, trademark, or logo in any content that violates public taste, moral values, or applicable laws. It is also prohibited to link the Platform's name to any prohibited or illegal site or any site containing content that conflicts with moral, religious, or social values.
3. The Platform reserves the full right to immediately suspend or cancel a user’s account in the event of a violation of these provisions.
Fifth: Lawful Use of Services
1. The User undertakes to use the Platform only for legitimate and authorized purposes, namely to purchase the offered products in accordance with the provisions set forth in this Document.
2. The User is prohibited from reselling any products to third parties in the Platform's name, even if purchased through the Platform, without its written consent.
3. The User is also prohibited from writing and publishing comments, opinions, or reviews that include rumors about products or inappropriate, offensive, or defamatory statements about products, sellers, or the Platform.
If the User violates this provision, the Platform has the right to take any measures it deems appropriate in accordance with its own standards, including:
- Blocking comments or removing any violating content without prior notice.
- Suspending or canceling the violating account, temporarily or permanently.
- Taking the necessary legal action, including claiming compensation for damages.
4. The Platform reserves the right to refuse or cancel any purchase order or payment transaction if it determines that illegal activity has occurred, including, but not limited to: money laundering, fraud, or purchasing in quantities that are commercially unjustified or incompatible with the purpose of personal use.
Section Three: Users' Rights Regarding the Platform
First: Provision of Services and Continuity of Operation
1. The Platform shall make every effort technically, administratively, and legally to ensure the continuity of its services to Users around the clock, including ensuring access to the products and services offered, and addressing any technical malfunctions as quickly as possible.
2. The Platform reserves the right to conduct periodic maintenance and necessary technical updates to improve performance before undertaking any actions that may affect access to the Services.
3. The Platform shall not be liable for temporary interruption of services due to Force Majeure or malfunctions beyond its control, including natural disasters, cybercrime, telecommunications network failures, or any other emergency circumstances.
Second: Protection of Personal Data and Confidentiality of Information
1. The Platform is committed to protecting the privacy of Users' data in accordance with applicable laws related to data protection and electronic privacy, and to using it only for purposes related to providing, improving, or developing the Services.
2. The Platform shall take all necessary technical and administrative measures to secure Users' data, including encryption, protection against hacking, and preventing unauthorized access, modification, or destruction.
3. The Platform may not sell or share user data with any third party without the User's prior and explicit consent, unless disclosure is required by law or court order.
Third: Providing Accurate and Clear Product Information
1. The Platform displays products and services offered by Suppliers or manufacturing partners with accurate and complete information, including, but not limited to, price, description, components, country of origin, warranty period, and return or exchange terms.
2. If the Platform discovers any error in the published data, it will correct it immediately and take the necessary measures to address any resulting consequences.
3. While the Platform is committed to accurately displaying information, the ultimate responsibility for the accuracy, safety, and quality of product specifications lies with the Merchant or Supplier who provides the Platform with product information for display within its services.
Fourth: Transparency in Electronic Transactions
1. The Platform will notify the User of all details of the transactions they conduct via email, text message, or via their Personal Account on the platform, including purchase orders, payments, shipping, and cancellations.
2. The Platform provides the User with the ability to track the status of Orders from purchase confirmation until delivery, including shipping status updates and expected delivery times.
Fifth: Complaint Mechanisms and Technical Support
1. The Platform provides clear and effective communication channels for receiving complaints, inquiries, and feedback, whether via a call center, email, or a dedicated electronic form.
2. The Platform shall process complaints submitted by Users within a reasonable period not exceeding [3] business days from the date of receipt of the complaint, and provide the User with periodic updates on the status of the complaint until it is resolved.
Sixth: Scope of Compensation
1. Any compensation due to the User, if any, shall be limited to the value of direct damages only, and shall not include any consequential damages, potential losses, lost profits, or any indirect financial obligations.
Section Four - Intellectual Property Rights
First: Ownership of Content and Trademarks
1. The User acknowledges that all rights related to the content published on the Platform, including text, images, graphics, logos, trademarks, designs, icons, videos, any other digital materials, and databases associated with the Platform, are owned by the Platform, its Suppliers, or any third parties affiliated with the Platform. The User may not claim any ownership right or exploit them except with an express license from the Platform or the right holder.
2. The Platform's trademark, logos, and domain names are protected by Egyptian and international intellectual property laws, and their use in any way is prohibited without prior written permission from the Platform.
3. The User shall refrain from associating any illegal content or commercial activity with the Platform's name or trademark or manipulating it, including posting it on inappropriate or prohibited sites or sites that defame the Platform or its reputation.
4. The User acknowledges that any new content or future materials added to the Platform are subject to the same intellectual property rights mentioned in this section.
Second: Prohibition of Reproduction and Publication
1. The User is prohibited from copying, reproducing, distributing, or republishing any content from the platform by any means, whether electronic or printed, without obtaining express written permission from the platform or the legal rights holder.
2. It is prohibited to use any part of the content for commercial, advertising, or promotional purposes without prior authorization from the platform or the rights holder.
Third: The Platform Retains its Full Rights Against any Violations
1. The Platform reserves the right to take all legal action against any violation of intellectual property rights, including filing civil or criminal lawsuits and claiming compensation for any material or moral damages resulting from the violation.
2. The Platform may ban the violating User or suspend their account temporarily or permanently, and take any additional measures it deems necessary to protect its rights and the rights of its associated Suppliers.
3. The User undertakes to bear all legal responsibilities and consequences arising from any unlawful use of the Platform's intellectual property, including compensation for any direct or indirect damages.
Section Five: Payment and Purchase Policies
First: Available Payment Methods and Options
1. The Platform provides Users with several payment options when completing any purchase, including, but not limited to:
- Electronic payment via bank cards (Visa, MasterCard, and equivalent).
- Payment via digital wallets (e-wallets) approved by the platform.
- Cash on delivery, in accordance with the terms set by the Platform for each product or service.
2. The Consumer shall use only approved payment methods and provide correct and accurate information to complete the payment process, including the card number, expiration date, verification code, or digital wallet information.
3. The Platform reserves the right to add or remove any payment method at any time, provided that Users are notified of changes prior to implementation directly via the Platform or their registered email.
Second: Order Confirmation and Payment
1. Payment made using any of the available payment methods constitutes confirmation by the User of their desire to complete the purchase.
2. When paying electronically, the amount is held with the approved financial service provider until the order is confirmed. This hold is considered an indication of receipt of the order and not the transfer of actual ownership of the product until the shipping and delivery procedures are completed.
3. If any payment process fails for technical or financial reasons, the User is obligated to retry using one of the approved methods or contact customer service to address the situation.
Third: Consumer Responsibility
1. The Consumer is obligated to provide correct and complete information upon Payment and is liable for any loss or damage resulting from entering inaccurate or incorrect information.
2. In the event that a stolen or counterfeit card or payment method is used, the unauthorized User shall bear the responsibility for damages, and any affected party shall retain their legal rights against the person responsible for such damages in accordance with the laws in force in the Arab Republic of Egypt.
3. The Platform is not responsible for any financial losses resulting from the Consumer's misuse of payment methods, including fraud or unauthorized use of bank accounts or digital wallets.
Fourth: Prices, Taxes, and Fees
1. All prices displayed on the Platform include the value of the Products or Services as stated, including value-added tax, whether on the product page itself or on the purchase confirmation page.
2. The Consumer is responsible for any additional taxes or fees that may be imposed by official authorities on products or any other transactions or payment methods, unless otherwise provided by law.
3. The Platform reserves the right to amend prices and Promotional Offers at any time, provided that the final price of the product or service is published before order confirmation.
Fifth: Refunds
1. Any amounts paid will be refunded in accordance with the Platform's approved Return and Exchange Policy, which specifies the procedures and timeframe for each type of product or service.
2. The Consumer is obligated to follow the specified procedures for refunds, including returning the product in its original condition, providing receipts or proof of payment, and not compromising the product's quality or usability prior to the return.
3. The refund will be in the form of a financial transfer to the same payment method used at the time of purchase, unless another method is agreed upon with the consent of the Platform and the Consumer.
Section Six: Shipping, Delivery, and Order Cancellation Policies
First: Shipping Procedures
1. Once the Order is confirmed and Payment is completed using the Platform's approved method, the Platform forwards the Order to the relevant departments to prepare it for shipping in accordance with the Platform's approved standards and procedures.
2. The Platform provides the Consumer with a tracking number or an electronic notification through which they can follow the shipment status step by step, from product preparation to delivery to the Consumer.
3. The Consumer is obligated to verify the accuracy of the delivery address entered in their account and to inform the Platform of any errors or changes to the address before placing the order for shipping to avoid any delays.
Second: Delivery Dates
1. The Platform delivers Products within the dates announced on the Platform upon Order completion, keeping in mind that these dates are estimates and not strict, binding dates. They may vary depending on the type of Product, inventory status, or the Consumer's location.
2. The Platform may modify delivery dates due to circumstances beyond its control, including climatic conditions, natural disasters, transportation disruptions, or any other force majeure. The Consumer will be notified of any modifications as soon as possible.
Third: Shipping Costs and Related Responsibilities
1. The Consumer bears the shipping costs determined for each Order, based on weight, size, product type, and delivery location. The final amount is shown in the order details before Payment is confirmed.
2. If the Platform offers free shipping offers or reduced delivery costs, the Platform reserves the right to modify or cancel these offers without prior notice. Any Offer will be applied only according to its specific terms.
3. The responsibility for delivering the product in good and sound condition lies with the Supplier or Merchant who submitted the Product for display on the Platform. The Platform is responsible for technical supervision of the shipping process by tracking and following up on its implementation. It does not bear any responsibility for damages resulting from Supplier violations or shipping conditions beyond its control.
Fourth: Consumer Obligations Upon Receipt
1. Upon receipt of the Product, the Consumer must check the overall condition of the Product, including ensuring that there are no damages, shortages, or apparent defects, and immediately report any violations to the Platform through the designated channels.
2. The Consumer has the right to refuse to receive the Product if damage or non-conformity is found, provided that the condition is documented with photos or videos and sent to the Platform for review and appropriate action in accordance with The Exchange and Return Policy.
Fifth: Exceptions Related to Force Majeure and Shipping Delays
1. The Platform assumes no responsibility for delays or non-delivery in circumstances beyond its control, including but not limited to: natural disasters, wars, riots, epidemics, technical failures, disruptions in transportation networks, or any sudden government decisions.
2. In such cases, the Platform will make every effort to inform the Consumer of the reasons for the delay and new delivery dates. Any Dispute related to the delay will be handled in accordance with the procedures specified in this Document.
3. The Platform reserves the right to modify shipping schedules or choose alternative delivery methods to protect the Product and ensure its prompt delivery to the Consumer. The Platform will notify the Consumer of any material changes in the delivery method or date.
Section Seven: Return, Exchange, and Refund Policies
First: Scope of Application of the Return and Exchange Policy
1. The Return and Exchange Policy aims to enable Consumers to return or exchange products purchased through the Platform in legally defined cases and in accordance with the conditions stipulated in this Document, taking into account the legal rights guaranteed to Consumers under the provisions of the Egyptian Consumer Protection Law.
2. All returns or exchanges are subject to the conditions stipulated in this Document, including deadlines, product condition, reason for return, and processing of refunds.
3. This policy applies to all Products purchased through the Platform, subject to any exceptions stipulated in the exception clauses.
Second: Return Conditions
1. Consumers have the right to request a return of the product within 14 days from the date of receipt, provided that the Product is in its original condition and unused, including the original packaging, labels, and accompanying accessories.
2. The Consumer must provide proof of receipt (such as a delivery receipt or order number) when submitting a return request, and attach any supporting photos or documents demonstrating the condition of the Product upon receipt.
3. The Platform reserves the right to reject any return request if the aforementioned conditions are not met or if the Product violates the terms and conditions
4. Please note that the customer is not entitled to request a product inspection before delivery. In the event of any defect or issue with the product after delivery, the customer has the right to submit a return or exchange request in accordance with the company’s approved Return and Exchange Policy..
Third: Replacement Conditions
1. The Consumer has the right to request a replacement Product for another Product available on the Platform within 14 days from the date of receipt, subject to the following conditions:
• The Product to be replaced must be identical to the condition of the original Product upon receipt.
• The new Product must be available in stock.
• Any price differences between the two Products must be clear to the Consumer before the replacement process is completed.
2. If the Product is replaced with a Product of lower value, the Platform has the right to deduct the difference from the Consumer's balance or adjust the refund amount according to the original payment method.
3. If the Product is replaced with a Product of higher value, the Consumer is obligated to pay the difference according to the payment mechanism approved on the Platform before completing the replacement process.
Fourth: Exceptions in Which Returns or Exchanges Are Prohibited
Returns or exchanges are prohibited in the following cases:
1. If the Product has been used in any way that alters its condition from its original state.
2. If the Product was prepared to the Consumer's request or customized to their personal specifications.
3. If any of the safety conditions or protection marks placed on the Product have been violated.
4. If the nature, characteristics, or packaging of the Product prevents the Product from being returned to its original condition upon contracting.
5. Perishable consumer goods.
6. If the Product is not in the same condition as it was received by the Consumer due to use or damage.
7. Books, newspapers, magazines, software, and the like.
8. Jewelry and similar items.
9. Underwear and wedding dresses if their packaging has been removed.
Fifth: Processing Returns and Refunds
1. Receiving and Processing the Returned Product
After the Product is received by the Platform or the authorized shipping company, it is inspected to ensure it meets the return conditions. This may take up to 7 business days.
The Consumer may be contacted to verify any damage or defect before issuing a refund or approving a replacement.
The Platform reserves the right to request additional information or collect and inspect the Product to ensure it meets the conditions before issuing a refund or replacement.
The Platform reserves the right to deduct any shipping costs or additional fees in accordance with the stated conditions, unless the return was a result of an error by the Platform or the Supplier.
2. Issuing Refunds
Once the return request is approved, the refund will be issued according to the original payment method used for the purchase.
The amount may take 5 to 7 business days from the date of approval to appear on the payment card statement, or it will appear immediately upon transfer to the Platform balance if internal payment methods are used.
3. Exchanges When the Product Is Not Available
If the same Product is not available in stock, a full refund will be issued instead of a replacement.
Some Products may be eligible for exchange only, and product availability must be verified before submitting an exchange request.
Sixth: Preventing Abuse
1. The Platform reserves the right to take appropriate legal action if abuse of the Return Policy is found, including:
• Excessive or repeated returns.
• Returning products not in their original condition.
• Providing misleading product information.
2. In these cases, the Platform has the right to suspend the account, limit the ability to return or exchange, or terminate the account if necessary.
Section Eight: General Provisions and Limitation of Liability
First: General Provisions
1. Severability of Terms:
If any provision or part of this Document is found invalid for any legal reason, the remaining provisions shall remain valid and enforceable between the parties, and the invalidated provision shall be deemed subject to Amendment in accordance with the law to reflect the original intent of the parties.
2. Legal Relationship:
The relationship between the Platform and Consumers, Users, or Suppliers is purely contractual, not an agency, partnership, or employment relationship. Neither the User nor the Supplier may claim rights beyond those stated in this Document.
3. Waiver of Rights:
Failure to exercise any right or enforce any provision of this Document at any time shall not constitute a waiver of such right or provision in the future.
4. Notices:
All legal or operational notices shall be sent to users via email registered with the Platform, text messages, or Personal Account notifications on the Platform. Notice shall be deemed received once sent through the channels indicated above.

6. Force Majeure:
The Platform shall not be liable for any delay or failure to fulfill obligations resulting from events beyond its control, including, but not limited to: natural disasters, fires, floods, wars, riots, epidemics, comprehensive technical failures, or sudden government decisions. The Platform reserves the right to postpone or modify any obligation affected by these circumstances without holding any party legally liable.
Second: Limitation of Liability
1. Liability for Products and Services:
Ultimate responsibility for the safety, quality, and conformity of Products with legal and technical specifications rests with the Supplier or Merchant who provides the Platform with information and products. The Platform is an electronic intermediary and bears no legal liability for product defects or infringement of consumer rights beyond the scope of this Document.
2. Indirect Damages:
The Platform shall not be liable for any indirect or consequential damages, including but not limited to: lost profits, lost data, business interruption, or any financial or commercial losses resulting from the use of the Platform or purchased products.
3. Reliance on Information:

4. Limits of Financial Liability:

The Platform reserves the right to amend this Document or any of its sub-policies at any time. The User's continued use of the Platform after posting any Amendment constitutes express acceptance of the new terms.
7. Transferability:
No User or Consumer may transfer or delegate any of the rights or obligations stipulated in this Document to a third party without the Platform's prior written consent.
8. Governing Law and Jurisdiction:
This Document shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. 1. Introduction
These Seller Terms & Conditions outline the responsibilities, rights, and obligations of Sellers ('you') on the Locafy platform ('we', 'our', or 'Locafy'). By registering or applying as a Seller, you agree to comply with the terms outlined below. These terms aim to ensure a fair, professional, and efficient relationship between Locafy and all registered sellers.
2. Seller Eligibility
2.1 Sellers must be officially registered as individuals or businesses and must operate within Cairo, Egypt.
2.2 Products submitted for listing must target youth and young adults aged 12–25, aligning with Locafy’s fashion-focused niche.
2.3 Sellers are required to maintain an active online presence, such as a branded Instagram page or website.
2.4 All seller applications are subject to quality-based review and must meet Locafy’s branding, product relevance, and aesthetic criteria before approval.
3. Product Listings
3.1 All product information submitted (title, description, specifications, and images) must be truthful, professional, and relevant to the target audience.
3.2 Inventory levels must be updated on a daily basis to ensure accuracy across the platform. Repeated stock-outs or listing of unavailable items may result in penalties.
3.3 Listings that do not comply with Locafy’s product or content policies (e.g., counterfeit items, poor-quality images, inappropriate language) may be removed without notice.
4. Commission and Payments
4.1 Locafy will deduct a 15% commission from every completed transaction. During the onboarding phase (first 6 months), a 0% commission incentive is applied to encourage adoption.
4.2 Payment settlements are made every two weeks. Payouts will be processed via the seller’s registered payment method. Refunds, returns, chargebacks, and related service fees will be deducted from the total amount due.
4.3 Sellers must ensure that their banking or payment details remain accurate and up-to-date to avoid payment delays.
5. Logistics and Fulfillment
5.1 Locafy partners with an external fulfillment center to manage packaging, labeling, and delivery. All shipping is centralized to maintain consistency and efficiency.
5.2 Sellers must deliver the confirmed inventory to Locafy’s assigned warehouse or fulfillment hub within the agreed time window.
5.3 Locafy reserves the right to suspend seller operations or apply penalties in the event of delayed inventory handover, delivery mismatches, or repeated logistic failures.
6. Returns and Customer Support
6.1 Locafy handles all customer communications, inquiries, and complaints through its support team.
6.2 Products are eligible for return only if they arrive damaged, defective, or inconsistent with the listed description.
6.3 Sellers must acknowledge and resolve any stock or product-related issues within 24 hours of Locafy’s inquiry. Failure to cooperate may lead to account restrictions.
7. Content Usage and Price Policy
7.1 Locafy may reuse product images, descriptions, or marketing materials provided by the seller in advertisements, social media campaigns, and other promotional efforts.
7.2 Sellers agree not to price the same products higher on Locafy than on their own digital platforms or other marketplaces. Locafy reserves the right to audit listings to ensure fair pricing.
8. Suspension and Termination
8.1 Locafy may temporarily suspend or permanently terminate a seller’s account in case of repeated customer complaints, inventory issues, violations of platform policies, or suspicious/fraudulent activity.
8.2 Sellers may terminate their participation in the platform by submitting a written termination notice at least 14 days in advance.
8.3 Upon termination, all remaining obligations including delivery of pending orders, payment reconciliations, and return resolutions must be fulfilled.
9. Confidentiality
9.1 Sellers must maintain the confidentiality of sensitive information including customer data, platform analytics, and internal communications. Any disclosure of such information without prior written consent from Locafy is strictly prohibited.
10. Governing Law
10.1 These terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of Egyptian courts.
11. Policy Updates
11.1 Locafy reserves the right to update or modify these Seller Terms & Conditions at any time. Significant changes will be communicated via email or dashboard notifications.
